Kanun\u2019un 43. Madde d\u00fczenlemesinde kendine yer bulan taahh\u00fct mekanizmas\u0131n\u0131n usul ve esaslar\u0131n\u0131 belirlemeye Rekabet Kurulu(\u201c<strong>Kurul<\/strong>\u201d) yetkili k\u0131l\u0131nm\u0131\u015ft\u0131r. Rekabet Kurumu 27.11.2020 tarihinde Rekabeti S\u0131n\u0131rlay\u0131c\u0131 Anla\u015fma, Uyumlu Eylem ve Kararlar \u0130le H\u00e2kim Durumun K\u00f6t\u00fcye Kullan\u0131lmas\u0131na Y\u00f6nelik \u00d6nara\u015ft\u0131rmalarda ve Soru\u015fturmalarda Sunulacak Taahh\u00fctlere \u0130li\u015fkin Tebli\u011f Tasla\u011f\u0131n\u0131 (\u201c<strong>Taslak Tebli\u011f<\/strong>\u201d) yay\u0131nlayarak kamuoyu g\u00f6r\u00fc\u015f\u00fcne a\u00e7m\u0131\u015ft\u0131r. \u0130\u015fbu k\u0131sa makalede Taslak Tebli\u011f kaynak mevzuat\u0131 olan AB Rekabet Hukuku uygulamas\u0131 ile birlikte kar\u015f\u0131la\u015ft\u0131r\u0131larak ele al\u0131nacakt\u0131r.<\/p>\n<p>Taahh\u00fct mekanizmas\u0131 ile haklar\u0131nda rekabet incelemesi ba\u015flat\u0131lan te\u015febb\u00fcsler taraf\u0131ndan s\u00f6z konusu ihlallerin bitirilmesine y\u00f6nelik taahh\u00fct verilerek rekabet kar\u015f\u0131t\u0131 zararlar\u0131n en aza indirilmesi ama\u00e7lanm\u0131\u015ft\u0131r. Taahh\u00fctler pazar\u0131n yap\u0131s\u0131nda de\u011fi\u015fikli\u011fe yol a\u00e7\u0131p a\u00e7mamas\u0131na g\u00f6re davran\u0131\u015fsal taahh\u00fct ve yap\u0131sal taahh\u00fct olarak ikiye ayr\u0131lmaktad\u0131r.<\/p>\n<p>Rekabet Hukuku uygulamam\u0131zda s\u00f6z konusu Kanun de\u011fi\u015fikli\u011fi birlikte taahh\u00fct uygulamas\u0131 hayata ge\u00e7irilmi\u015f, ilk taahh\u00fct mekanizmas\u0131 Kurul\u2019un Hava\u015f karar\u0131 ile uygulanm\u0131\u015ft\u0131r.<a href=\"#_ftn1\" name=\"_ftnref1\">[1]<\/a> \u0130lk yap\u0131sal taahh\u00fct ve ikinci taahh\u00fct uygulamas\u0131 ise Kurul\u2019un TSB\/OSEM karar\u0131yla v\u00fccut bulmu\u015ftur.<a href=\"#_ftn2\" name=\"_ftnref2\">[2]<\/a><a href=\"#_ftn3\" name=\"_ftnref3\">[3]<\/a><\/p>\n<p><strong>2. Mehaz AB Rekabet Hukuku Uygulamas\u0131 <\/strong><\/p>\n<p>Rekabet Hukuku uygulamam\u0131za kazand\u0131r\u0131lan taahh\u00fct uygulamas\u0131n\u0131n mehaz mevzuat\u0131 olan AB Rekabet Hukuku incelendi\u011finde taahh\u00fct mekanizmas\u0131n\u0131n 1\/2003 numaral\u0131 T\u00fcz\u00fck (\u201c<b>T\u00fcz\u00fck<\/b>\u201d) ile d\u00fczenlendi\u011fi g\u00f6r\u00fcl\u00fcr.<a href=\"#_ftn4\" name=\"_ftnref4\">[4]<\/a> Fakat T\u00fcz\u00fck&#8217;ten \u00f6nce de AB Rekabet Hukuku\u2019nda taahh\u00fct mekanizmas\u0131 uygulanm\u0131\u015ft\u0131r. Resmi olmayan uzla\u015fma metodu denilen bu y\u00f6ntemle Komisyon soru\u015fturma a\u00e7t\u0131\u011f\u0131 te\u015febb\u00fcslerin ilgili rekabet ihlalini sonland\u0131rma veya de\u011fi\u015ftirme taahh\u00fctleri kar\u015f\u0131s\u0131nda rekabet soru\u015fturmalar\u0131n\u0131 sonland\u0131rm\u0131\u015ft\u0131r.<\/p>\n<p>Resmi olmayan uzla\u015fma metodu kaynaklar\u0131n daha etkili kullan\u0131m\u0131 ve rekabet ihlallerinin olu\u015fturdu\u011fu zarar\u0131n hen\u00fcz b\u00fcy\u00fcmeden engellenmesi a\u00e7\u0131s\u0131ndan \u00e7ok \u00f6nemli bir i\u015flev eda etse de birtak\u0131m eksiklikleri beraberinde getirmi\u015ftir. Zira resmi olmayan uzla\u015fma metoduna g\u00f6re Komisyon\u2019un taahh\u00fctte bulunan bir te\u015febb\u00fcs\u00fcn taahh\u00fcd\u00fcne uymamas\u0131 durumunda ba\u015fvurabilece\u011fi bir imkan bulunmamaktad\u0131r. Ancak ilgili rekabet soru\u015fturmas\u0131n\u0131 <u>ba\u015ftan ba\u015flatma veya ask\u0131ya al\u0131nan soru\u015fturma s\u00fcrecinin tekrar aktif hale getirilmesi y\u00f6ntemiyle Komisyon sorunu yeniden ele alacakt\u0131r<\/u>. Bu uygulama da kaynaklar\u0131n etkili ve tasarruflu kullan\u0131m\u0131 amac\u0131 ta\u015f\u0131yan taahh\u00fct mekanizmas\u0131n\u0131n amac\u0131na uygun d\u00fc\u015fmeyecektir. Dolay\u0131s\u0131yla taahh\u00fctlerin ba\u011flay\u0131c\u0131 olmad\u0131\u011f\u0131 sonucu \u00e7\u0131kar\u0131labilir. Buna kar\u015f\u0131n T\u00fcz\u00fck&#8217;te d\u00fczenlenen haliyle taahh\u00fctte bulunan te\u015febb\u00fcs\u00fcn taahh\u00fcd\u00fcn\u00fc yerine getirmemesi halinde birtak\u0131m yapt\u0131r\u0131mlar uygulanmas\u0131 m\u00fcmk\u00fcnd\u00fcr.<\/p>\n<p>Bir ikinci eksiklik kendini \u015feffafl\u0131kta g\u00f6stermi\u015ftir. Resmi olmayan uzla\u015fma y\u00f6nteminde Komisyon ve ilgili te\u015febb\u00fcslerin \u00fczerinde anla\u015farak soru\u015fturman\u0131n kapand\u0131\u011f\u0131 taahh\u00fctlerin kamuya a\u00e7\u0131klanmas\u0131 s\u00f6z konusu de\u011fildir. Dolay\u0131s\u0131yla \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin taahh\u00fcd\u00fcn varl\u0131\u011f\u0131 veya i\u00e7eri\u011fi hakk\u0131nda bilgi sahibi olmas\u0131 m\u00fcmk\u00fcn olmam\u0131\u015ft\u0131r.\u00a0 <strong>Fakat T\u00fcz\u00fck ile birlikte ilgili te\u015febb\u00fcslerin taahh\u00fctleri AB Resmi Gazetesi\u2019nde yay\u0131nlanarak 3. Ki\u015filerin g\u00f6r\u00fc\u015flerine ba\u015fvurulur<\/strong>. T\u00fcz\u00fck&#8217;le birlikte d\u00fczenlenerek resmi bir hale gelen taahh\u00fct uygulamas\u0131 \u015feffafl\u0131k unsurunu da b\u00f6ylece sa\u011flam\u0131\u015f olmaktad\u0131r.<\/p>\n<p>T\u00fcz\u00fck&#8217;\u00fcn 9. Madde d\u00fczenlemesi detayl\u0131 bir d\u00fczenleme olmamakla birlikte konu hakk\u0131nda Komisyon\u2019un bas\u0131n a\u00e7\u0131klamalar\u0131 ve AB Komisyonu Rekabet Genel Direkt\u00f6rl\u00fc\u011f\u00fc\u2019n\u00fcn Mart 2014 tarihli politika \u00f6zeti konuya \u0131\u015f\u0131k tutmaktad\u0131r.<a href=\"#_ftn5\" name=\"_ftnref5\">[5]<\/a> T\u00fcz\u00fck, s\u00f6z konusu bas\u0131n a\u00e7\u0131klamalar\u0131 ve politika \u00f6zet yaz\u0131lar\u0131 ile birlikte de\u011ferlendirildi\u011finde,<\/p>\n<ul>\n<li>T\u00fcz\u00fck&#8217;\u00fcn Taahh\u00fctler ba\u015fl\u0131kl\u0131 9. Madde d\u00fczenlemesinde Komisyon\u2019un rekabet sorununu ele al\u0131rken hakk\u0131nda soru\u015fturma a\u00e7\u0131lan te\u015febb\u00fcs taraf\u0131ndan sunulan taahh\u00fctlerin rekabet sorununu giderdi\u011fi y\u00f6n\u00fcnde kanaat getirmesi halinde taahh\u00fcd\u00fc kabul edebilece\u011fi belirtilmi\u015ftir.<\/li>\n<li>\u0130kinci f\u0131krada ise Komisyon\u2019un talep \u00fczerine veya re\u2019sen ilgili te\u015febb\u00fcs hakk\u0131nda baz\u0131 hallerde rekabet soru\u015fturmas\u0131n\u0131 tekrar a\u00e7abilece\u011fi d\u00fczenlenmi\u015ftir. (<u>i) Karar\u0131n dayand\u0131\u011f\u0131 vak\u0131alar hakk\u0131nda \u00f6nemli de\u011fi\u015fiklikler olmas\u0131, (ii) ilgili te\u015febb\u00fcs\u00fcn taahh\u00fcde ayk\u0131r\u0131 davran\u0131\u015fta bulunmas\u0131 veya (iii) karar\u0131n taraflarca sunulan eksik, hatal\u0131 veya yan\u0131lt\u0131c\u0131 bilgilere dayanmas\u0131 halinde Komisyon\u2019un soru\u015fturmay\u0131 tekrar ba\u015flatabilece\u011fi d\u00fczenlenmi\u015ftir<\/u>.<\/li>\n<li>Taahh\u00fct mekanizmas\u0131n\u0131n <strong>a\u011f\u0131r kartel durumlar\u0131 i\u00e7in uygulama alan\u0131 bulmayaca\u011f\u0131<\/strong> belirtilmi\u015ftir. Dolay\u0131s\u0131yla rakipler aras\u0131nda yap\u0131lan fiyat sabitleyici, arz\u0131 k\u0131s\u0131tlay\u0131c\u0131 veya pazar\u0131 payla\u015ft\u0131r\u0131c\u0131 etkiye sahip anla\u015fma veya uygulamalar\u0131n taahh\u00fct mekanizmas\u0131n\u0131n d\u0131\u015f\u0131nda oldu\u011fu s\u00f6ylenebilir. Ayr\u0131ca taahh\u00fctlerin davran\u0131\u015fsal veya yap\u0131sal olabilece\u011fi \u00f6ng\u00f6r\u00fclm\u00fc\u015ft\u00fcr.<\/li>\n<li>Bir di\u011fer husus T\u00fcz\u00fck&#8217;\u00fcn 9. Madde d\u00fczenlemesi uyar\u0131nca taahh\u00fcd\u00fc Komisyon taraf\u0131ndan onaylanarak ba\u011flay\u0131c\u0131 hale gelen te\u015febb\u00fcs\u00fcn uygulamas\u0131n\u0131n rekabet kurallar\u0131na ayk\u0131r\u0131l\u0131\u011f\u0131 hususunda T\u00fcz\u00fck&#8217;\u00fcn sessiz kald\u0131\u011f\u0131d\u0131r. Dolay\u0131s\u0131yla taahh\u00fcd\u00fc kabul edilerek ba\u011flay\u0131c\u0131 hale gelen te\u015febb\u00fcs uygulamas\u0131n\u0131n rekabet kurallar\u0131na ayk\u0131r\u0131l\u0131\u011f\u0131 hususunda Komisyon nihai de\u011ferlendirme yapmamakta ve ileride olas\u0131 soru\u015fturma a\u00e7\u0131lmas\u0131 hakk\u0131n\u0131 sakl\u0131 tutmaktad\u0131r. Bir ba\u015fka ifadeyle Komisyon\u2019un soru\u015fturmada <strong>T\u00fcz\u00fck&#8217;\u00fcn 7. Madde d\u00fczenlemesi uyar\u0131nca men etme karar\u0131 vermesi yerine taahh\u00fct karar\u0131 vermesinin ilgili uygulama veya davran\u0131\u015f\u0131n Komisyon taraf\u0131ndan z\u0131mnen onand\u0131\u011f\u0131 anlam\u0131na gelmeyece\u011fi belirtilmi\u015ftir<\/strong>. Dolay\u0131s\u0131yla Komisyon\u2019un taahh\u00fct kabul karar\u0131 muafiyet tan\u0131nmas\u0131 sonucunu do\u011furmaz.<\/li>\n<li>Komisyon\u2019un nihai de\u011ferlendirme yapmamas\u0131na paralel olarak da ilgili te\u015febb\u00fcs uygulamas\u0131 sonucu zarar\u0131n\u0131 tazmin etmek isteyen m\u00fc\u015fteri veya di\u011fer rakiplerin mahkemeler \u00f6n\u00fcnde s\u00f6z konusu uygulaman\u0131n hukuka ayk\u0131r\u0131 oldu\u011funu ispat etmeleri gerekecektir.<\/li>\n<li><strong>Komisyon taahh\u00fct talebi almas\u0131n\u0131 m\u00fcteakip s\u00f6z konusu talebi yay\u0131nlayarak ilgili \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin g\u00f6r\u00fc\u015flerini sunmas\u0131na imkan tan\u0131r<\/strong>. Komisyon\u2019un pazar testi olarak adland\u0131r\u0131lan bu uygulamada menfaati bulunan ki\u015filer g\u00f6r\u00fc\u015f beyan\u0131nda bulunarak taahh\u00fcd\u00fcn ilgili rekabet sorununu \u00e7\u00f6zmeye elveri\u015fli olup olmad\u0131\u011f\u0131 de\u011ferlendirmesine katk\u0131da bulunur. Burada okuyucular\u0131n dikkatine sunmak isteriz ki Komisyon\u2019un ilgili taahh\u00fctleri yay\u0131nlamas\u0131 T\u00fcz\u00fck&#8217;\u00fcn 27. Maddesi uyar\u0131nca zorunludur, dolay\u0131s\u0131yla Komisyon\u2019un takdirine b\u0131rak\u0131lmam\u0131\u015ft\u0131r.<\/li>\n<\/ul>\n<p><strong>3. Taslak Tebli\u011f Neler Getiriyor?<\/strong><\/p>\n<p>7246 say\u0131l\u0131 Kanun ile Rekabetin Korunmas\u0131 Hakk\u0131nda Kanun\u2019un 43. Madde 3. F\u0131kra d\u00fczenlemesinde yap\u0131lan de\u011fi\u015fiklik ile birlikte taahh\u00fct mekanizmas\u0131 T\u00fcrk Rekabet Hukukuna kazand\u0131r\u0131lm\u0131\u015ft\u0131r. Kanunda usul ve esaslara y\u00f6nelik tebli\u011fin Rekabet Kurulu taraf\u0131ndan \u00e7\u0131kar\u0131laca\u011f\u0131 belirtilmi\u015ftir. Taslak Tebli\u011f<a href=\"#_ftn6\" name=\"_ftnref6\">[6]<\/a> incelendi\u011finde,<\/p>\n<ul>\n<li>Taslak Tebli\u011f\u2019in kapsam ba\u015fl\u0131kl\u0131 ikinci madde d\u00fczenlemesinde a\u00e7\u0131k ve a\u011f\u0131r ihlallerin tebli\u011f kapsam\u0131 d\u0131\u015f\u0131nda oldu\u011fu belirtilerek rakipler aras\u0131nda <strong>fiyat tespiti, b\u00f6lge veya m\u00fc\u015fteri payla\u015f\u0131m\u0131 ve arz miktar\u0131n\u0131 k\u0131s\u0131tlayan anla\u015fmalar hususunda taahh\u00fct mekanizmas\u0131n\u0131n ge\u00e7erli olmad\u0131\u011f\u0131<\/strong> belirtilmi\u015ftir.<\/li>\n<li>Taahh\u00fct s\u00fcreci te\u015febb\u00fcslerin yaz\u0131l\u0131 olarak taahh\u00fct sunma taleplerini Kurum\u2019a iletmesiyle ba\u015flamaktad\u0131r. Taslak Tebli\u011f\u2019in 5. Madde d\u00fczenlemesi uyar\u0131nca haklar\u0131nda inceleme karar\u0131 verilen te\u015febb\u00fcsler <strong>soru\u015fturma bildiriminin kendilerine tebli\u011finden itibaren <u>3 ay i\u00e7inde<\/u> s\u00f6z konusu yaz\u0131l\u0131 taahh\u00fct sunma taleplerini<\/strong> Kurum\u2019a iletmek zorundad\u0131r. Aksi halde bu s\u00fcreyi ge\u00e7iren te\u015febb\u00fcslerin taahh\u00fct taleplerinin dikkate al\u0131nmayaca\u011f\u0131 d\u00fczenlenmi\u015ftir.<\/li>\n<li>Taahh\u00fcd\u00fcn sunulmas\u0131n\u0131 d\u00fczenleyen 7. Madde d\u00fczenlemesinde ilgili te\u015febb\u00fcs\u00fcn taahh\u00fct metni, ticari s\u0131r ve gizli bilgilerden ari bir \u015fekilde bir n\u00fcshas\u0131 ve \u00f6zetinin sunulmas\u0131 \u00f6ng\u00f6r\u00fclm\u00fc\u015ft\u00fcr. Hemen devam eden ikinci f\u0131kras\u0131nda ise <strong>taahh\u00fcd\u00fcn hangi s\u00fcrelerle sunulaca\u011f\u0131na ili\u015fkin takdir yetkisi Kurum\u2019a b\u0131rak\u0131lm\u0131\u015ft\u0131r.<\/strong> \u0130ncelemenin hangi a\u015famada oldu\u011fu ve taahh\u00fcd\u00fcn kapsam\u0131 de\u011ferlendirilerek her bir taahh\u00fct \u00f6zelinde verilecek s\u00fcre Kurum taraf\u0131ndan taahh\u00fct g\u00f6r\u00fc\u015fmeleri esnas\u0131nda belirlenecektir.<\/li>\n<li>Taslak Tebli\u011f\u2019in 8. Madde d\u00fczenlemesinde, <strong>taahh\u00fct metninde alternatifli taahh\u00fct d\u00fczenlenemeyece\u011fi belirtilmi\u015ftir<\/strong>. Zira Kurul sunulan taahh\u00fcd\u00fcn a\u00e7\u0131k olarak belirtilmesi ko\u015fulunu aram\u0131\u015ft\u0131r. Devam eden ikinci f\u0131kras\u0131nda a\u00e7\u0131k taahh\u00fcd\u00fcn nas\u0131l olmas\u0131 gerekti\u011fine de yer verilmi\u015ftir. Bu kapsamda taahh\u00fcd\u00fcn <u>ne oldu\u011fu, ne zamandan ba\u015flanmak suretiyle yerine getirilece\u011fi, ne kadar s\u00fcreyle ve ne \u015fekilde uygulanaca\u011f\u0131, taahh\u00fcd\u00fcn piyasaya etkisi<\/u> gibi hususlar\u0131n a\u00e7\u0131k\u00e7a belirtilmesi gerekmektedir.<\/li>\n<li>Bir di\u011fer \u00f6nemli nokta uygulanacak taahh\u00fcd\u00fcn <strong>\u015fik\u00e2yet\u00e7i ve \u00fc\u00e7\u00fcnc\u00fc ki\u015filerle anla\u015fma sa\u011flanmas\u0131n\u0131n gerekti\u011fi hallerde, ilgili anla\u015fmalar\u0131n yap\u0131ld\u0131\u011f\u0131na dair belgelerin<\/strong> de Kurum\u2019a sunulmas\u0131 gerekti\u011fi hususudur.<\/li>\n<li>Sunulacak taahh\u00fcd\u00fcn niteli\u011fini d\u00fczenleyen Taslak Tebli\u011f\u2019in 9. Maddesi uyar\u0131nca <strong>davran\u0131\u015fsal ve yap\u0131sal taahh\u00fctlerin ayn\u0131 taahh\u00fct metninde veya ayr\u0131 ayr\u0131 sunulmalar\u0131n\u0131n m\u00fcmk\u00fcn oldu\u011fu belirtilmi\u015ftir<\/strong>. Dolay\u0131s\u0131yla ayr\u0131\u015ft\u0131rma veya lisans devri gibi pazar\u0131n yap\u0131s\u0131n\u0131 etkileyen yap\u0131sal taahh\u00fctler ile kapasite s\u0131n\u0131rlamas\u0131 gibi pazar pay\u0131n\u0131 etkilemeyen davran\u0131\u015fsal taahh\u00fctlerin birlikte verilmesi de m\u00fcmk\u00fcn olacakt\u0131r.<\/li>\n<li>\u0130ncelenecek bir di\u011fer nokta Kurum\u2019un sunulacak taahh\u00fctlerle ilgili arad\u0131\u011f\u0131 kriterleri d\u00fczenleyen 9. Madde 2. F\u0131kra d\u00fczenlemesidir. Kurul taahh\u00fctlerin orant\u0131l\u0131, sorunlar\u0131 gidermeye elveri\u015fli, k\u0131sa s\u00fcrede yerine getirilebilir ve etkili \u015fekilde uygulanabilir olma \u00f6l\u00e7\u00fctleri getirmi\u015ftir. Ayr\u0131ca <strong>Kurum etkili bir taahh\u00fct mekanizmas\u0131 i\u00e7in izleme gerektirmeyen taahh\u00fctleri tercih etti\u011fini belirtmi\u015ftir<\/strong>. Zira b\u00f6ylelikle rekabet sorunlar\u0131n\u0131n giderilmesinde daha az kamusal kaynak kullan\u0131m\u0131n\u0131 ama\u00e7layan taahh\u00fct mekanizmas\u0131n\u0131n daha etkili bir bi\u00e7imde ortaya \u00e7\u0131kaca\u011f\u0131 inanc\u0131 bulunmaktad\u0131r.<\/li>\n<li>De\u011finilmesi gereken bir ba\u015fka nokta <strong>\u00fc\u00e7\u00fcnc\u00fc ki\u015filerin hareketlerine y\u00f6nelik bir taahh\u00fcd\u00fcn sunulamayaca\u011f\u0131<\/strong> d\u00fczenlemesidir.<\/li>\n<li>AB Rekabet Hukuku uygulamas\u0131ndaki pazar testine paralel olarak Taslak Tebli\u011f\u2019in 11. Madde d\u00fczenlemesi uyar\u0131nca Kurul taahh\u00fct hakk\u0131nda \u015fik\u00e2yette bulunan ve \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin g\u00f6r\u00fc\u015flerinin al\u0131nmas\u0131na karar verebilir. <strong><u>Burada okuyucular\u0131n ehemmiyetle dikkatine sunmak isteriz ki Kurul\u2019un \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin ve \u015fik\u00e2yet edenlerin g\u00f6r\u00fc\u015flerine ba\u015fvurmas\u0131 AB rekabet hukuku uygulamas\u0131ndaki gibi zorunlu olmay\u0131p Kurul\u2019un takdirine b\u0131rak\u0131lm\u0131\u015ft\u0131r<\/u><\/strong>. Dolay\u0131s\u0131yla Kurul\u2019un \u00fc\u00e7\u00fcnc\u00fc ki\u015filer ve \u015fik\u00e2yet\u00e7ilerin g\u00f6r\u00fc\u015flerine ba\u015fvurmas\u0131 bir zorunluluk olmay\u0131p kendi takdirindedir.<\/li>\n<li>Kurul taahh\u00fcd\u00fc herhangi bir zaman k\u0131s\u0131tlamas\u0131na tabii olmadan de\u011ferlendirir, akabinde ise uygun bulmas\u0131 halinde taahh\u00fct ilgili ki\u015filer a\u00e7\u0131s\u0131ndan ba\u011flay\u0131c\u0131 hale gelecektir. Kurul\u2019un taahh\u00fcd\u00fc uygun bulmamas\u0131 halinde ise <strong>bir kereye mahsus olmak \u00fczere Kurul\u2019ca belirlenecek s\u00fcre ve esaslar dahilinde Kurul taraflara taahh\u00fctte de\u011fi\u015fiklik yap\u0131lmas\u0131 hakk\u0131nda karar verebilir<\/strong>. Aksi halde taahh\u00fcd\u00fcn sonland\u0131r\u0131lmas\u0131 karar\u0131 \u00e7\u0131kacakt\u0131r.<\/li>\n<li>Taahh\u00fcd\u00fcn ba\u011flay\u0131c\u0131 hale gelmesini d\u00fczenleyen 14. Madde d\u00fczenlemesinde Kurul\u2019un sunulan taahh\u00fct yoluyla rekabet sorununun giderilebilece\u011fi y\u00f6n\u00fcnde kanaat getirmesi halinde a\u00e7\u0131lm\u0131\u015f soru\u015fturman\u0131n sonland\u0131r\u0131lmas\u0131na veya soru\u015fturma a\u00e7\u0131lmamas\u0131na karar verebilece\u011fi d\u00fczenlenmi\u015ftir. Fakat ikinci c\u00fcmlede Kurul\u2019un bu y\u00f6ndeki karar\u0131n\u0131n ilgili anla\u015fma veya uygulaman\u0131n ihlal olup olmad\u0131\u011f\u0131 y\u00f6n\u00fcnde bir tespit i\u00e7ermedi\u011fi de vurgulanm\u0131\u015ft\u0131r.<\/li>\n<li>Madde d\u00fczenlemesinde ise ba\u011flay\u0131c\u0131 hale gelen taahh\u00fcd\u00fcn izlenmesi ve yerine getirilmesi s\u00fcreci d\u00fczenlenmi\u015ftir. <strong>Taahh\u00fctte bulunan taraf\u0131n d\u00fczenli olarak rapor sunmas\u0131, \u00fc\u00e7\u00fcnc\u00fc ki\u015fi denet\u00e7ilerin atanmas\u0131 veya meslek birli\u011fi ya da kamu kurum ve kurulu\u015flar\u0131yla i\u015fbirli\u011fi Kurul\u2019un sunulan taahh\u00fcd\u00fcn izlenmesi ara\u00e7lar\u0131 olarak say\u0131lm\u0131\u015ft\u0131r<\/strong>. Say\u0131lan ara\u00e7lar\u0131n t\u00fcketici olarak say\u0131lmad\u0131\u011f\u0131 ve Kurul\u2019un ba\u015fka y\u00f6ntemlere de ba\u015fvurabilece\u011fi kanaatindeyiz.<\/li>\n<li>Taslak Tebli\u011f\u2019de dikkate de\u011fer bir ba\u015fka husus <strong>Tebli\u011f\u2019in y\u00fcr\u00fcrl\u00fc\u011fe girmesiyle birlikte devam eden incelemeler hakk\u0131nda da uygulama alan\u0131 bulaca\u011f\u0131d\u0131r<\/strong>. <u>Bu h\u00fckm\u00fcn tek istisnas\u0131 soru\u015fturma a\u00e7\u0131lmas\u0131 karar\u0131n\u0131n tebli\u011finden itibaren 3 ay ge\u00e7mi\u015f bulunan soru\u015fturmalar i\u00e7in taahh\u00fct sunma talebinin \u00fc\u00e7 ay i\u00e7inde Kurum\u2019a sunulmas\u0131 talebinin aranmayaca\u011f\u0131d\u0131r<\/u>.<\/li>\n<\/ul>\n<p><strong>4. De\u011ferlendirme<\/strong><\/p>\n<p>Taahh\u00fct mekanizmas\u0131n\u0131n usul ve esaslar\u0131n\u0131 d\u00fczenleyen Taslak Tebli\u011f baz\u0131 hususlarda mehaz AB Rekabet Hukuku uygulamas\u0131ndan ayr\u0131lmaktad\u0131r. Genel olarak d\u00fczenlemelere bak\u0131ld\u0131\u011f\u0131nda uygulama noktalar\u0131nda Rekabet Kurulu\u2019na geni\u015f yetkiler tan\u0131nd\u0131\u011f\u0131 ve takdir yetkisinin geni\u015f oldu\u011fu g\u00f6r\u00fclmektedir. Taslak Tebli\u011f taahh\u00fcd\u00fcn sunulma s\u00fcresi noktas\u0131nda kaynak mevzuat\u0131 olan AB Rekabet Hukuku uygulamas\u0131 ile farkl\u0131l\u0131k arz etmektedir. Taslak Tebli\u011f\u2019in 5. Madde d\u00fczenlemesi uyar\u0131nca haklar\u0131nda soru\u015fturma karar\u0131 verilen te\u015febb\u00fcslerin <strong>soru\u015fturma bildirimi ald\u0131\u011f\u0131 tarihten itibaren 3 ay i\u00e7inde taahh\u00fct taleplerini sunmas\u0131 gerekti\u011fi<\/strong> d\u00fczenlenmi\u015ftir. Aksi halde 3 ayl\u0131k s\u00fcreyi ge\u00e7iren te\u015febb\u00fcslerin taahh\u00fct sunma taleplerinin dikkate al\u0131nmayaca\u011f\u0131 belirtilmi\u015ftir. Bu y\u00f6nde olmak \u00fczere tebli\u011f \u00f6ncesinde kanun de\u011fi\u015fikli\u011finin y\u00fcr\u00fcrl\u00fc\u011fe girmesi ile devam eden soru\u015fturmalar bak\u0131m\u0131ndan verilmek istenen taahh\u00fctlerde bu husus g\u00fcndeme gelmi\u015ftir. Rekabet Kurulu taraf\u0131ndan verilen 20.07.2020 tarih ve 20-36\/485-212 say\u0131l\u0131 Aslan Nakliyat karar\u0131nda<a href=\"#_ftn7\" name=\"_ftnref7\">[7]<\/a>, Kurul taahh\u00fctlerin verilmesinin soru\u015fturma safhas\u0131n\u0131n bitiminden sonra oldu\u011fu gerek\u00e7esi ile verilen taahh\u00fctleri ihlalin a\u00e7\u0131k olup olmad\u0131\u011f\u0131ndan ba\u011f\u0131ms\u0131z bir \u015fekilde reddetmi\u015ftir.<\/p>\n<p><strong><u>Buna kar\u015f\u0131n AB uygulamas\u0131nda b\u00f6yle bir s\u00fcre k\u0131s\u0131tlamas\u0131 s\u00f6z konusu de\u011fildir.<\/u><\/strong> Kanaatimizce, mehaz AB Hukukuna paralel olarak \u00e7\u0131kar\u0131lacak tebli\u011fde de bu y\u00f6nde bir s\u00fcre k\u0131s\u0131tlamas\u0131n\u0131n olmamas\u0131 gerekir. Zira taahh\u00fct mekanizmas\u0131n\u0131n d\u00fczenlenme amac\u0131 kaynaklar\u0131n tasarruflu kullan\u0131larak rekabet ihlallerinin do\u011furdu\u011fu zarar\u0131n b\u00fcy\u00fcmeden bir an \u00f6nce engellenmesidir. Yukar\u0131da verilen Kurul karar\u0131n\u0131n da esasen Kanun de\u011fi\u015fikli\u011fi kapsam\u0131 ile getirilmeyen bir s\u0131n\u0131rlaman\u0131n tebli\u011f ile getirilmesi anlam\u0131na geldi\u011fini de\u011ferlendirmekteyiz. \u015e\u00f6yle ki, taahh\u00fct mekanizmas\u0131n\u0131n getirildi\u011fi Kanun\u2019un 44\/3 maddesi de\u011fi\u015fikli\u011finde taahh\u00fcd\u00fcn soru\u015fturma safhas\u0131 i\u00e7erisinde de\u011fil, <em>\u201cY\u00fcr\u00fct\u00fclmekte olan bir \u00f6nara\u015ft\u0131rma ya da soru\u015fturma s\u00fcrecinde\u201d<\/em> sunulmas\u0131 \u00f6ng\u00f6r\u00fclmektedir. Nihai karar al\u0131nana kadar t\u00fcm s\u00fcre\u00e7, s\u00f6zl\u00fc savunma olsun olmas\u0131n soru\u015fturma s\u00fcreci olarak kabul edilmelidir. \u00a0<u>Dolay\u0131s\u0131yla \u00e7\u0131kar\u0131lacak tebli\u011fde rekabet ihlali oldu\u011fu y\u00f6n\u00fcnde bir karar verilene kadar (soru\u015fturman\u0131n tamamlanmas\u0131 a\u015famas\u0131na kadar) te\u015febb\u00fcslere taahh\u00fct sunma imk\u00e2n\u0131n\u0131n tan\u0131nmas\u0131n\u0131n gerekli oldu\u011fu kanaatindeyiz<\/u>.<\/p>\n<p>\u0130ncelemeye de\u011fer bir di\u011fer husus Kurul\u2019un alternatif taahh\u00fctler i\u00e7eren taahh\u00fct metinlerini dikkate almayaca\u011f\u0131 d\u00fczenlemesidir. AB Rekabet Hukuku uygulamas\u0131nda da bir kar\u015f\u0131l\u0131\u011f\u0131 olmayan bu h\u00fckm\u00fcn isabetsiz oldu\u011fu d\u00fc\u015f\u00fcncesindeyiz. Zira taahh\u00fct mekanizmas\u0131 yap\u0131s\u0131 gere\u011fi klasik \u00e7\u00f6z\u00fcmler \u00fcretmek yerine te\u015febb\u00fcslere ve Kurul\u2019a rekabete ayk\u0131r\u0131 uygulamalar\u0131n sonland\u0131r\u0131lmas\u0131 noktas\u0131nda geni\u015f bir hareket alan\u0131 b\u0131rakmaktad\u0131r. Her ne kadar Kurul taraf\u0131ndan onaylanacak taahh\u00fct metninin ba\u011flay\u0131c\u0131 niteli\u011fi kazanacak olmas\u0131ndan \u00f6t\u00fcr\u00fc a\u00e7\u0131k ve net olmas\u0131n\u0131n denetim amac\u0131 a\u00e7\u0131s\u0131ndan gerekli oldu\u011fu anla\u015f\u0131labilirse de <strong>Kurul\u2019un a\u00e7\u0131k ve rekabet sorunlar\u0131na yeterli \u00e7\u00f6z\u00fcmler sunan birden \u00e7ok taahh\u00fcd\u00fc i\u00e7eren taahh\u00fct metinlerini reddetmesinin temeli bulunmamaktad\u0131r<\/strong>. <strong><u>Zira ilgili te\u015febb\u00fcs\u00fcn sundu\u011fu birden \u00e7ok a\u00e7\u0131k ve net taahh\u00fct aras\u0131ndan Kurul bir tanesini se\u00e7mek suretiyle s\u00f6z konusu taahh\u00fcd\u00fc ba\u011flay\u0131c\u0131 hale getirebilir<\/u><\/strong>. Dolay\u0131s\u0131yla \u00e7\u0131kar\u0131lacak tebli\u011fde te\u015febb\u00fcslere alternatif taahh\u00fctler sunma olana\u011f\u0131na yer verilmesi gerekti\u011fi g\u00f6r\u00fc\u015f\u00fcndeyiz.<\/p>\n<p>Taslak Tebli\u011f\u2019in AB Rekabet Hukuku\u2019ndaki taahh\u00fct uygulamas\u0131ndan ayr\u0131lan bir di\u011fer y\u00f6n\u00fc, Kurul\u2019un kendisine sunulan taahh\u00fct metnini yay\u0131nlama zorunlulu\u011funun bulunmamas\u0131d\u0131r. Zira Kurul\u2019un ilgili taahh\u00fcd\u00fc yay\u0131nlamas\u0131 taahh\u00fct hakk\u0131nda \u015fikayet\u00e7i veya \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin g\u00f6r\u00fc\u015flerine ba\u015fvurulmas\u0131 gerekti\u011fi y\u00f6n\u00fcnde kanaat getirmesine ba\u011flanm\u0131\u015ft\u0131r. <strong>Dolay\u0131s\u0131yla Kurul\u2019un \u015fikayet\u00e7inin veya \u00fc\u00e7\u00fcnc\u00fc ki\u015finin g\u00f6r\u00fc\u015flerine ba\u015fvurmaya gerek g\u00f6rmedi\u011fi hallerde ilgili taahh\u00fcd\u00fc yay\u0131nlama zorunlulu\u011fu bulunmamaktad\u0131r<\/strong>. Buna kar\u015f\u0131n AB Rekabet Hukuku uygulamas\u0131nda 1\/2003 say\u0131l\u0131 T\u00fcz\u00fck&#8217;\u00fcn 27. Maddesi uyar\u0131nca <strong>Komisyon kendisine sunulan taahh\u00fctleri AB Resmi Gazetesi\u2019nde yay\u0131nlamak zorundad\u0131r<\/strong>. Pazar testi ad\u0131 verilen bu uygulama ile Komisyon her taahh\u00fct sunuldu\u011funda \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin ilgili taahh\u00fct hakk\u0131nda g\u00f6r\u00fc\u015flerini beyan etmelerine f\u0131rsat tan\u0131m\u0131\u015ft\u0131r. Sonu\u00e7<\/strong><\/p>\n<p>Taslak Tebli\u011f mehaz AB Rekabet Hukuku uygulamas\u0131ndan baz\u0131 noktalarda farkl\u0131l\u0131k arz etmektedir. \u00d6ncelikle AB Rekabet Hukuku uygulamas\u0131nda soru\u015fturma evresinin sonuna kadar taahh\u00fct talebinde bulunulabilmesi m\u00fcmk\u00fcn iken Taslak Tebli\u011f\u2019de bu s\u00fcre soru\u015fturma bildiriminin tebli\u011finden itibaren 3 ay ile s\u0131n\u0131rland\u0131r\u0131lm\u0131\u015ft\u0131r. AB hukuku ile yeknesakl\u0131k sa\u011flanmas\u0131 ve taahh\u00fct mekanizmas\u0131n\u0131n getirili\u015f amac\u0131 da g\u00f6z \u00f6n\u00fcne al\u0131narak \u00e7\u0131kar\u0131lacak tebli\u011fde taahh\u00fct sunma talebinin soru\u015fturma evresinin sonuna kadar olmas\u0131 gerekti\u011fi g\u00f6r\u00fc\u015f\u00fcndeyiz. \u0130kinci olarak Taslak Tebli\u011f\u2019de alternatif taahh\u00fctler i\u00e7eren metinlerin dikkate al\u0131nmayaca\u011f\u0131 d\u00fczenlemesinin isabetsiz oldu\u011fu kanaatindeyiz.
