Sekt\u00f6rlerin \u00e7ok ciddi bir \u00e7o\u011funlu\u011funun dijitalle\u015fmesi, geleneksel sekt\u00f6r sisteminde uygulanan s\u0131n\u0131rlar\u0131n yeniden \u00e7izilmesini gerekli k\u0131lm\u0131\u015ft\u0131r. Bu do\u011frultuda dijitalle\u015fen ekonominin, ekonominin anayasas\u0131 niteli\u011findeki Rekabet Hukuku uygulamalar\u0131 ba\u015fta olmak \u00fczere bir\u00e7ok hukuk dal\u0131n\u0131 etkilemesi ka\u00e7\u0131n\u0131lmazd\u0131r. Nitekim Rekabet Hukuku uygulamas\u0131 bak\u0131m\u0131ndan da yenilik\u00e7i bir bak\u0131\u015f a\u00e7\u0131s\u0131n\u0131n olu\u015ftu\u011fu ve sekt\u00f6rlerin yeni bir g\u00f6zle de\u011ferlendirildi\u011fini g\u00f6rmekteyiz. \u00d6zellikle geli\u015fmi\u015f \u00fclkelerin rekabet otoriteleri taraf\u0131ndan dijital sekt\u00f6rlere ili\u015fkin verilen kararlarda, analizlerin temel Rekabet Hukuku kavramlar\u0131n\u0131n sekt\u00f6r\u00fcn kendine has dinamikleri g\u00f6z \u00f6n\u00fcnde bulundurularak yap\u0131ld\u0131\u011f\u0131 anla\u015f\u0131lmaktad\u0131r. Bu do\u011frultuda Avrupa Komisyonu (\u201c<strong>Komisyon<\/strong>\u201d) ve \u00f6zellikle Almanya, Fransa, Birle\u015fik Krall\u0131k gibi \u00fclkelerin rekabet otoriteleri, do\u011fan yeni sorunlara cevap verebilmek ad\u0131na dijital sekt\u00f6rde rekabet hukuku \u00fczerine \u00e7e\u015fitli \u00e7al\u0131\u015fmalar y\u00fcr\u00fctmektedir. \u00dclkemizde de bu \u00e7al\u0131\u015fmalar ile e\u015fzamanl\u0131 olarak, dijital platformlara uygulanacak kurallar\u0131n s\u0131n\u0131rlar\u0131n\u0131 belirlemek ve dijitalle\u015fen d\u00fcnyada rekabet politikalar\u0131n\u0131 yenilemek ad\u0131na Rekabet Kurumu (\u201c<strong>Kurum<\/strong>\u201d) taraf\u0131ndan sekt\u00f6r ara\u015ft\u0131rmas\u0131 yap\u0131lmaya ba\u015flanm\u0131\u015f<a href=\"#_ftn1\" name=\"_ftnref1\">[1]<\/a> ve bu do\u011frultuda dijital ekonomi konular\u0131na ili\u015fkin yeni g\u00f6rev tan\u0131mlar\u0131n\u0131n belirlendi\u011fi duyurulmu\u015ftur.<a href=\"#_ftn2\" name=\"_ftnref2\">[2]<\/a> Nitekim Kurum, \u015fimdiye kadar dijital platformlara ili\u015fkin Google, Sahibinden.com, Yemek Sepeti, Hepsiburada gibi \u00f6nemli kararlara imza atm\u0131\u015ft\u0131r.<\/p>\n<p>Dijital sekt\u00f6r\u00fcn Rekabet Hukuku sisteminde meydana getirdi\u011fi yenilikler ve de\u011fi\u015fimleri inceleyece\u011fimiz makalemizde \u00f6ncelikle dijital sekt\u00f6r ve dijital sekt\u00f6r i\u00e7erisinde hizmet veren e-Ticaret kavramlar\u0131 a\u00e7\u0131klanacak ve sekt\u00f6r\u00fcn kendine has dinamiklerinin, Rekabet Hukuku kavramlar\u0131 a\u00e7\u0131s\u0131ndan nas\u0131l yorumland\u0131\u011f\u0131 incelenecektir. Dijital sekt\u00f6r, geleneksel sekt\u00f6r tiplerinin internet ortam\u0131nda yer almas\u0131 ile olu\u015fmu\u015f teknoloji bazl\u0131 inovatif bir sekt\u00f6rd\u00fcr ve i\u00e7erisinde yer alan pazarlar \u201c<em>o kadar farkl\u0131d\u0131r ki rekabet prensipleri bak\u0131m\u0131ndan benzersiz bir muameleyi hak ederler.\u201d<a href=\"#_ftn3\" name=\"_ftnref3\"><strong>[3]<\/strong><\/a> <\/em>Nitekim dijital pazarlar\u0131n geleneksel piyasalardan farkl\u0131 olarak kendine has dinamikleri bulunmaktad\u0131r<a href=\"#_ftn4\" name=\"_ftnref4\">[4]<\/a> ve Pazar analizleri yap\u0131l\u0131rken rekabet otoriteleri taraf\u0131ndan bu dinamikler \u00f6zellikle dikkate al\u0131nmal\u0131d\u0131r. Bu bak\u0131mdan, dijital sekt\u00f6r\u00fc anlayabilmek i\u00e7in, sekt\u00f6r\u00fcn demir ba\u015f\u0131 olan dijital platformlar\u0131n, E-Ticaret sisteminin ve Rekabet Hukuku kavramlar\u0131n\u0131n bu sistemlere nas\u0131l entegre edildi\u011finin anla\u015f\u0131lmas\u0131 gerekmektedir.<\/p>\n<p>Dijital sekt\u00f6r\u00fcn kalbi olan E-Ticaret Sistemi (<em>e-commerce<\/em>), \u201c<em>internet \u00fczerinden mal ve hizmet al\u0131m ve sat\u0131m\u0131<\/em>\u201d<a href=\"#_ftn6\" name=\"_ftnref6\">[6]<\/a> olarak tan\u0131mlanmaktad\u0131r ve bu \u00fcr\u00fcn ve hizmetlerin da\u011f\u0131t\u0131m\u0131, pazarlanmas\u0131, sat\u0131\u015f\u0131 vb. hizmetler dijital platformlar arac\u0131l\u0131\u011f\u0131 ile ger\u00e7ekle\u015ftirilir. T\u00fcrkiye pazar\u0131nda \u00e7ok k\u0131sa s\u00fcrede yer edinmi\u015f E-Ticaret sistemi tan\u0131m\u0131na Rekabet Kurumu\u2019nun D-Market Karar\u2019\u0131nda<a href=\"#_ftn7\" name=\"_ftnref7\">[7]<\/a> da yer verilmi\u015f olup \u201c<em>web teknolojilerindeki geli\u015fmelerle ortaya \u00e7\u0131km\u0131\u015f yeni bir t\u00fcr al\u0131\u015fveri\u015f ortam\u0131 ve dijital platformlar \u00fczerindeki sanal ma\u011faza uygulamalar\u0131 ile t\u00fcketicilerin internet \u00fczerinden elektronik ortamda; bilgisayardan otomobile, kitaptan pizzaya bir\u00e7ok \u00fcr\u00fcn\u00fc ma\u011fazalara gitmeksizin g\u00fcn\u00fcn her vakti do\u011frudan alabildi\u011fi bir sistem<\/em>\u201d olarak ifade edilmi\u015ftir. E-Ticaret tan\u0131m\u0131nda s\u0131kl\u0131kla bahsi ge\u00e7en dijital Platform ise Avrupa Konseyi taraf\u0131ndan, \u201c<em>iki (veya \u00e7ok tarafl\u0131) pazarda faaliyet g\u00f6steren ve iki veya daha fazla farkl\u0131 ama birbirine ba\u011f\u0131ml\u0131 kullan\u0131c\u0131 grubu aras\u0131ndaki etkile\u015fimi sa\u011flamak i\u00e7in \u0130nternet&#8217;i kullanan bir giri\u015fim<\/em>\u201d<a href=\"#_ftn8\" name=\"_ftnref8\">[8]<\/a> olarak tan\u0131mlanm\u0131\u015ft\u0131r. Bu do\u011frultuda Amazon, E-Bay gibi Pazar yerleri; Apple gibi uygulama ma\u011fazalar\u0131; Facebook, Instagram gibi sosyal a\u011f siteleri ve Google, Yahoo gibi arama motorlar\u0131 \u00e7e\u015fitli E-Ticaret hizmetleri i\u00e7in bir dijital altyap\u0131 olu\u015fturmaktad\u0131r.<\/p>\n<p>Dijital platformun soru\u015fturmalarda s\u0131kl\u0131kla \u00fczerine de\u011finilen karakteristik \u00f6zelliklerinden birisi \u201c<em>dolayl\u0131 a\u011f etkisi<\/em>\u201d olup bu etki sekt\u00f6rdeki bir ba\u015fka karakteristik \u00f6zellik olan Pazar yap\u0131s\u0131n\u0131n \u201c<em>\u00e7ok tarafl\u0131<\/em>\u201d olu\u015fundan kaynaklanmaktad\u0131r. Dolayl\u0131 a\u011f etkisi (<em>indirect effect<\/em>), dijital platformlarda m\u00fc\u015fteri gruplar\u0131n\u0131n talepleri aras\u0131ndaki ba\u011f\u0131ml\u0131l\u0131k ili\u015fkisi ile alakal\u0131 olup k\u0131saca <em>bir mal veya hizmet kullan\u0131c\u0131s\u0131n\u0131n ilgili \u00fcr\u00fcn\u00fcn de\u011feri \u00fczerinde, mevcut veya potansiyel kullan\u0131c\u0131lara olan etkisini ifade eder.<\/em><a href=\"#_ftn9\" name=\"_ftnref9\">[9]<\/a> \u00d6rne\u011fin ki\u015filerin sosyal a\u011f platformlar\u0131 aras\u0131ndan Facebook\u2019u kullanmay\u0131 tercih etmesinin tek nedeni bu platformun arkada\u015flar\u0131 taraf\u0131ndan kullan\u0131lmas\u0131 dahi olabilir. \u00d6yleyse dijital platformlar\u0131 kullanman\u0131n de\u011feri, do\u011frudan kullan\u0131c\u0131 say\u0131s\u0131na ba\u011fl\u0131d\u0131r. <a href=\"#_ftn10\" name=\"_ftnref10\">[10]<\/a><\/p>\n<p>Dolayl\u0131 a\u011f etkisinin olu\u015fmas\u0131na sebebiyet veren \u00e7ok tarafl\u0131 Pazar yap\u0131s\u0131 ise Pazar i\u00e7erisindeki oyuncu gruplar\u0131 ile alakal\u0131d\u0131r. Pandemi nedeniyle hen\u00fcz s\u00f6zl\u00fc savunmas\u0131 ger\u00e7ekle\u015ftirilemeyen Google\u00a0 Adwords 2019 Soru\u015fturmas\u0131<a href=\"#_ftn69\" name=\"_ftnref69\">[69]<\/a>, Google\u2019\u0131n genel arama hizmetlerine y\u00f6nelik yapt\u0131\u011f\u0131 algoritma g\u00fcncellemeleri ve Adwords reklamlar\u0131 ile h\u00e2kim durumunu k\u00f6t\u00fcye kullanarak te\u015febb\u00fcslerin faaliyetlerini zorla\u015ft\u0131rd\u0131\u011f\u0131 iddias\u0131n\u0131 i\u00e7eren ba\u015fvuru \u00fczerine y\u00fcr\u00fct\u00fclmektedir.<a href=\"#_ftn70\" name=\"_ftnref70\">[70]<\/a> \u0130lgili 2019 tarihli soru\u015fturma, Komisyon\u2019un 40411 say\u0131l\u0131 ve 20.03.2019 tarihli yukar\u0131da bahsi ge\u00e7en Google AdSense karar\u0131<a href=\"#_ftn71\" name=\"_ftnref71\">[71]<\/a> ile ilgili Pazar bak\u0131m\u0131ndan benzerlik g\u00f6sterdi\u011finden Kurum soru\u015fturmas\u0131n\u0131n da benzer \u015fekilde bir karar almas\u0131n\u0131 beklemekteyiz. \u00d6te yandan Google Adwords \u00a02019 Soru\u015fturmas\u0131 ile \u00e7ok yak\u0131n zamanlarda ba\u015flat\u0131lan Google Yerel A\u011f 2019 Soru\u015fturmas\u0131; genel arama hizmetleri pazar\u0131nda h\u00e2kim durumda bulunan Google\u2019\u0131n, kendi yerel arama hizmetini rakiplerini d\u0131\u015flayacak \u015fekilde \u00f6ne \u00e7\u0131karmak suretiyle h\u00e2kim durumunu k\u00f6t\u00fcye kulland\u0131\u011f\u0131 y\u00f6n\u00fcndeki ba\u015fvuru \u00fczerine y\u00fcr\u00fct\u00fclmektedir.<a href=\"#_ftn72\" name=\"_ftnref72\">[72]<\/a> Google\u2019a ili\u015fkin Kurul kararlar\u0131 genel itibari ile Avrupa Komisyonu ile paralellik g\u00f6stermekte iken, Google Yerel A\u011f \u00a02019 Soru\u015fturmas\u0131\u2019n\u0131n yaln\u0131zca \u00fclkemiz nezdinde incelemeye tabi tutulmas\u0131 ilgi \u00e7ekicidir. Bu soru\u015fturma kapsam\u0131nda, Dijital sekt\u00f6re Rekabet Hukuku uygulanmas\u0131 noktas\u0131nda \u00fclkemizin \u00f6nc\u00fcl\u00fck edebilece\u011fini de\u011ferlendirmekteyiz.<\/p>\n<p>Google\u2019a y\u00f6nelik sonu\u00e7lanan ilk soru\u015fturma karar\u0131; 19.09.2018 tarihli ve 18-33\/555-273 say\u0131l\u0131 Google Android Karar\u0131<a href=\"#_ftn73\" name=\"_ftnref73\">[73]<\/a> olup ilgili soru\u015fturma karar\u0131 ile, h\u00e2kim durumda oldu\u011fu ve RKHK\u2019n\u0131n 6. Maddesini ihlal etti\u011fi belirtilen Google ekonomik b\u00fct\u00fcnl\u00fc\u011f\u00fcne 93.083.422,30 TL idari para cezas\u0131 verilmi\u015ftir. \u0130lgili d\u00f6nemde AB Komisyonu taraf\u0131ndan da soru\u015fturma konusu edilen Google Android mobil cihazlar\u0131 hakk\u0131nda Komisyon\u2019un 2018 tarihli Android Karar\u0131<a href=\"#_ftn74\" name=\"_ftnref74\">[74]<\/a> ile benzer bir karar al\u0131nm\u0131\u015ft\u0131r. \u00d6te yandan, Ekim 2020 itibari ile hen\u00fcz gerek\u00e7eli karar\u0131 yay\u0131nlanmayan 13.02.2020 tarihli ve 20-10\/119-69 say\u0131l\u0131 Google Shopping Karar\u0131<a href=\"#_ftn75\" name=\"_ftnref75\">[75]<\/a> Google aleyhine sonu\u00e7lanan ikinci soru\u015fturmad\u0131r ve gene Komisyon\u2019un 2017 tarihli Google Shopping Karar\u0131<a href=\"#_ftn76\" name=\"_ftnref76\">[76]<\/a> ile paralel d\u00fczenlemeler i\u00e7ermektedir. Bu do\u011frultuda Kurul\u2019un 2020 tarihli Shopping karar\u0131 ile, genel arama hizmetleri ve \u00e7evrim i\u00e7i al\u0131\u015fveri\u015f kar\u015f\u0131la\u015ft\u0131rma hizmetleri pazarlar\u0131nda h\u00e2kim durumda oldu\u011funa karar verilen Google ekonomik b\u00fct\u00fcnl\u00fc\u011f\u00fcne RKHK\u2019n\u0131n 6. Maddesini ihlal etti\u011fi gerek\u00e7esi ile bu defa 98.354.027,39 TL idari para cezas\u0131 verilmi\u015ftir.<\/p>\n<p>Yukar\u0131da yer verilen Facebook, Amazon gibi dijital platformlara ili\u015fkin kararlarda \u00fczerinde durulan konu genel itibari ile dijital sekt\u00f6r\u00fcn \u00e7ok tarafl\u0131 Pazar yap\u0131s\u0131, sekt\u00f6rdeki dolayl\u0131 a\u011f etkisi ve sekt\u00f6r\u00fcn veri bazl\u0131 olu\u015fudur. Bu \u00f6zelliklerin yan\u0131 s\u0131ra dijital sekt\u00f6rdeki \u201cfinansal yap\u0131\u201d da geleneksel pazarlardan son derece farkl\u0131 olan \u00f6nemli bir ayr\u0131\u015ft\u0131r\u0131c\u0131 unsurdur. Nitekim Google arama motoru gibi \u201c<em>bir\u00e7ok \u00e7evrim i\u00e7i platformda da g\u00f6zlemlendi\u011fi \u00fczere, genel arama hizmetleri pazar\u0131nda aramay\u0131 yapan kullan\u0131c\u0131\/t\u00fcketici ald\u0131\u011f\u0131 hizmet i\u00e7in do\u011frudan bir bedel \u00f6dememekte, arama motoru taraf\u0131ndan do\u011frudan ya da dolayl\u0131 olarak \u00fccretlendirilen taraf \u00e7o\u011fu durumda i\u00e7erik sa\u011flay\u0131c\u0131lar olmaktad\u0131r<\/em>.\u201d<a href=\"#_ftn77\" name=\"_ftnref77\">[77]<\/a> Bunun sebebi, Dijital platformlarda elde edilen gelirin b\u00fcy\u00fck bir oran\u0131n\u0131n reklamlar arac\u0131l\u0131\u011f\u0131 ile sa\u011flanmas\u0131d\u0131r. Nitekim Rekabet Kurumu taraf\u0131ndan Google\u2019a ili\u015fkin y\u00fcr\u00fct\u00fclen ilk soru\u015fturma olan Google Android Karar\u0131\u2019nda, h\u00e2kim durumda oldu\u011fu tespit edilen Google\u2019\u0131n ana gelir kayna\u011f\u0131n\u0131n yakla\u015f\u0131k %90 oran\u0131 ile Google \u00fcr\u00fcnlerini kullanan t\u00fcketicilere y\u00f6nelik reklam yerlerini yine Google hizmetleri (<em>Adwords, AdSense ve AdX<\/em>) \u00fczerinden sunmak suretiyle elde etti\u011fi reklam gelirlerinin olu\u015fturdu\u011fu belirtilmi\u015ftir.<a href=\"#_ftn78\" name=\"_ftnref78\">[78]<\/a> Bu noktada asl\u0131nda platformlar\u0131n Pazar g\u00fcc\u00fcn\u00fc belirleyen etkinin trafik ak\u0131\u015f\u0131 oldu\u011fu g\u00f6r\u00fclmektedir.<\/p>\n<p>Burada tart\u0131\u015f\u0131lan \u00f6nemli bir konu ise, kullan\u0131c\u0131lar\u0131n parasal bir bedel \u00f6dememesine ra\u011fmen, ki\u015fisel verilerinin ilgili platform taraf\u0131ndan kaydedilmesinin manevi bir \u00fccret olup olmad\u0131\u011f\u0131 tart\u0131\u015fmas\u0131 ve ki\u015fisel verilerin dijital piyasalarda Pazar g\u00fcc\u00fc bak\u0131m\u0131ndan olu\u015fturdu\u011fu etkidir. Dijital sekt\u00f6rde gelirler reklamlar \u00fczerinden elde edilmektedir ve her oyuncunun nihai hedefi daha fazla reklam\u0131 ilgili kullan\u0131c\u0131ya ula\u015ft\u0131r\u0131p daha fazla t\u0131klama almak olmaktad\u0131r.<\/p>\n<p>Facebook, Google gibi dev platformlar\u0131n ki\u015fisel veri taban\u0131 arac\u0131l\u0131\u011f\u0131 ile hedef reklam\u0131 kullan\u0131c\u0131 ile bulu\u015fturma imk\u00e2n\u0131 vard\u0131r. \u00d6rne\u011fin Google kendi arama motoru \u00fczerinden kendi kar\u015f\u0131la\u015ft\u0131rmal\u0131 al\u0131\u015fveri\u015f servisi ile hizmet sunarken sosyal a\u011f platformunda h\u00e2kim pozisyonda olan Facebook, sosyal platformda be\u011fenilen\/payla\u015f\u0131lan her bir veriyi ba\u015fka bir platforma ta\u015f\u0131yabilecek g\u00fc\u00e7tedir. Bu noktada, rekabet otoritelerine d\u00fc\u015fen, dijital platformlar\u0131 hukuksal bir s\u0131n\u0131r i\u00e7ine almakt\u0131r. Giri\u015fimciler ne platform \u00fczerinde stratejik ve yarat\u0131c\u0131 hamleler yapamayacak kadar bast\u0131r\u0131lmal\u0131 ne de Pazar g\u00fc\u00e7lerini arkalar\u0131na alarak h\u00e2kim durumlar\u0131n\u0131 k\u00f6t\u00fcye kullanacak kadar serbest b\u0131rak\u0131lmal\u0131d\u0131r. Bu noktada yay\u0131mlanan Komisyon rapor ve kararlar\u0131, sekt\u00f6r raporu olu\u015fturma haz\u0131rl\u0131\u011f\u0131ndaki Rekabet Kurumu\u2019na da yol g\u00f6sterici nitelikte olacakt\u0131r.<\/p>\n<p>Dijital sekt\u00f6r yeni oldu\u011fu kadar canl\u0131 ve de\u011fi\u015fken bir sekt\u00f6rd\u00fcr ve Rekabet Hukuku bak\u0131m\u0131ndan ele al\u0131nmas\u0131 \u00e7ok k\u0131sa bir zamanda g\u00fcndeme gelmi\u015ftir. Hen\u00fcz \u00fczerinde tart\u0131\u015fmalar\u0131n devam etti\u011fi sekt\u00f6re ili\u015fkin bir\u00e7ok rekabet otoritesi kararlar alarak bir i\u00e7tihat olu\u015fturma ve gerek raporlarla gerekse yeni yasalarla sekt\u00f6r\u00fc kontrol alt\u0131na alma yolundad\u0131r. Ancak mevcut d\u00fczenlemeler \u0131\u015f\u0131\u011f\u0131nda, \u201ch\u00e2kim durum testi\u201d ile m\u00fcdahale edilemeyen bu yap\u0131 g\u00fcn\u00fcm\u00fczde en ve s\u00fcper h\u00e2kim durumda te\u015febb\u00fcslerin olu\u015fmas\u0131n\u0131 sa\u011flam\u0131\u015ft\u0131r.
