Having adopted The Act No:2499, “Capital Market Act” in 1981, the foundation of capital market law had begun in Turkey and some amendments have been made on this act in parallel with the alteration of capital markets. By the end of 2012, the new “Capital Market Act”, Act No: 6362 has abolished the Act No: 2499 as a result of changes and ameliorations in Turkey and in the world. The New Capital Market Act which is written as showing the spirit of international and contemporary enhancement has the aim of paying attention to modern view of judicial interpretation. In addition to this, when we look in deep to the scope of the new capital market act and secondary legislations deriving from it, we can say that the act has the te of regulating all individual and institutional stakeholders of the capital market, in details.
The Capital Market Act and secondary legislations have detailed regulations on the basic components of capital markets. In this context, initial public offering of capital market instruments by the issuers and the regulations to be obeyed by the publicly held company which contains also corporate governance principles are within these regulations. Correspondingly, the rules belonging to establishment, licensing, operating and principles of operations are in the scope of the Act. Finally, with the aim of high level compliance at these rules and protecting capital markets judicial system, the Act has detailed rules on infringements of the Act and the administrative and criminal fines against these infringements.
